	SOFTWARE PROGRAM: The Compaq Multimedia Services for Windows NT

	QUANTITY: 1 

	This document is the legal agreement governing your use of the 
	Software.  

        
			   	LICENSE TERMS


1.	GRANT

	Compaq Computer Corporation ("COMPAQ") grants you the right to use 
	the Software Program Version (the "Software") specified above, plus any 
	prior version, on the Quantity of computers specified above.

	You may copy the Software into the local memory or storage device of 
	the specified quantity of computers.  

	You may copy the Software onto a network server for the sole purpose of 
	distributing the Software to the specified quantity of computers.  You 
	may make archival or back-up copies of the Software.

	You may permanently transfer your rights to use the Software, the 
	Software itself including any updates to the specified version of the 
	Software, and the accompanying documentation including this License
	Agreement, provided you retain no copies of the Software, updates, 
	documentation, or License Agreement, and the recipient agrees to the 
	terms of this License Agreement.  


2.	COPYRIGHT

	The Software is owned by COMPAQ and its suppliers and is protected by 
	copyright laws and international treaties.  Your use of the Software 
	and associated documentation is subject to the applicable copyright 
	laws and the express rights and restrictions of this License Agreement.

3.	RESTRICTIONS

	You may not rent, lease, or otherwise transfer the Software except as 
	expressly authorized in this License Agreement.

	You may not remove any copyright, trademark or other proprietary 
	notices from the Software or the media.

	You may not reverse engineer, decompile, or disassemble the Software, 
	except to the extent Compaq cannot prohibit such acts by law.

	It is understood by both parties to the license agreement that speech
	recognition is a statistical process, that recognition errors are in-
	herent in the process of speech recognition, and that speech recog-
	nition applications must be designed to allow for such errors in the
	recognition process. You must understand that such errors are inevitable
	that it is your responsibility to correct recognition errors be-
	fore using the results of recognition.

			 LIMITED WARRANTY
    
	Compaq warrants that the Software will perform substantially as described 
	in the documentation accompanying the Software for a period of ninety (90) 
	days from delivery.  ANY IMPLIED WARRANTIES OF MERCHANTABILITY 
	OR FITNESS FOR A PARTICULAR PURPOSE ARE LIMITED TO NINETY 
	(90) DAYS.  

	EXCLUSIVE REMEDY.  COMPAQ's and its suppliers' entire's Limited 
	Warranty shall be, at COMPAQ's option, either (1) repair or replacment of 
	the nonconforming Software, or (2) refund of your purchase price.  This 
	warranty and remedy are subject to your returning the non-conforming 
	Software during the warranty period to COMPAQ in the country in which you 
	obtained the Software.

	The software and any documentation is provided on an "as is" basis.
	Compaq Computer Corporation disclaims all warranties, whether ex-
	press or implied, written or oral, with respect to the software and
	any documentation, including all warranties of merchantability and fit-
	ness for a particular purpose. Compaq's liability for damages to the
	licensee for any cause whatsoever, regardless of the form of any claim
	or action, shall not exceed the total license fee paid by the licensee
	for the license to use the software under this agreement. Compaq shall
	in no event be liable for any damages resulting from the loss of data,
	profits or use of equipment, or for any special, incidental, or con-
	sequential damages arising out of or in connection with the use or per-
	formance of the software.

	This warranty gives you specific legal rights, and you may also have other 
	rights which vary from state to state.  Some states do not allow 
	limitations on how long an implied warranty lasts, so the above limitation 
	may not apply to you.


			ALLOCATION OF LIABILITY

	COMPAQ'S AND ITS SUPPLIERS' TOTAL LIABILITY TO YOU FOR ANY 
	CAUSE WHATSOEVER SHALL BE LIMITED TO THE PURCHASE PRICE 
	YOU PAID FOR THE PRODUCT. THIS LIMITATION WILL APPLY 
	REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT OR 
	TORT, INCLUDING WITHOUT LIMITATION NEGLIGENCE.  THE 
	FOREGOING LIMITATION DOES NOT APPLY TO DAMAGES RESULTING 
	FROM PERSONAL INJURY CAUSED BY COMPAQ'S NEGLIGENCE.
    		
	IN NO EVENT WILL COMPAQ OR ITS SUPPLIERS BE LIABLE FOR ANY 
	DAMAGES RESULTING FROM LOSS OF DATA OR USE, LOST PROFITS, 
	OR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES.

	Some jurisdictions do not allow the exclusion or limitation of incidental 
	or consequential damages, so the above limitation or exclusion may not 
	apply to you.

			U.S. GOVERNMENT CUSTOMERS

	Commercial Computer Software, and Computer Software Documentation, and 
	Technical Data for Commercial Items are licensed to the U.S. Government 
	with Compaq's standard commercial license and, when applicable, the rights 
	in DFAR 252.227-7015, "Technical Data - Commercial Items."

				GENERAL

	You are responsible for compliance with all applicable export or re-export 
	control laws and regulations if you export the Software.

	This Agreement is governed by and is to be construed under the laws of the 
	Commonwealth of Massachusetts.  The 1980 United Nations Convention on 
	Contracts for the International Sale of Goods will not apply.
